Shannon S.
Frank, has more than 20 years experience and
prides herself in giving exceptional service to her
clients, recognizing that relationships with clients
play a significant and essential role in providing tailored
and comprehensive legal advice. She is always mindful
of the client's individual or business situation, and
existing and potential legal requirements. Shannon assists
clients with their estate and wealth transfer planning
and during the probate and trust administration process.
She represents many closely held companies in a variety
of matters, including buy and sell transactions, business
organization, contracts, the sale and leasing of properties
and employment issues. Shannon also assists many area
builders, subcontractors and suppliers in the construction
industry. With a business background, she understands
many of the issues facing business owners and key management
personnel and works to develop effective solutions.
- Represented business clients in
asset acquisitions, mergers, and sales of assets and
ownership interests.
- Counseled small business owners
concerning the formation of limited liability companies,
partnerships and corporations, shareholder agreements,
operating agreements, bylaws, employment contracts,
confidentiality and non-compete agreements.
- Developed and implemented estate
plans for individuals and families, including wills,
various trusts (family trusts, living trusts, credit
shelter trusts, life insurance trusts), powers of
attorney and health care representatives, intra-family
loans, guardianships and gifting.
- Represented banks and individuals
through the probate process in their roles as personal
representatives and also in their roles as trustees
of various trusts. Assists in the transfer of non-probate
assets, distribution of estate assets and the preparation
and filing of inheritance tax returns.
- Assisted clients in real estate
acquisitions, leases and sales, both commercial and
residential. Assists developers with subdivision development
and property owners with zoning and land use matters.
- Represented builders and subcontractors
with residential construction agreements, mechanic’s
liens, warranty issues and the Indiana Quality Assurance
Builder Standards. Assists material suppliers with
a variety of contractual business issues.
