With more than 30 years’ experience, Shannon prides herself in giving exceptional service to her clients, recognizing that relationships with clients play a significant and essential role in providing tailored and comprehensive legal advice. She is always mindful of the client’s individual or business situation, and existing and potential legal requirements. Shannon assists clients with their estate and wealth transfer planning and during the probate and trust administration process. She represents many closely held companies in a variety of matters, including buy and sell transactions, business organization, contracts, the sale and leasing of real estate, and employment issues. Shannon also assists many area builders, developers, subcontractors and suppliers in the construction industry. With a business background, she understands many of the issues facing business owners and key management personnel and works to develop effective solutions.

Experience
  • Business Law
    • Represents business clients in asset acquisitions, mergers, and sales of assets and ownership interests.
  • Closely-held Businesses
    • Counsels small business owners concerning the formation of limited liability companies, partnerships and corporations, and preparation of shareholder agreements, operating agreements, bylaws, employment contracts, and confidentiality and non-compete agreements.
    • Significant experience assisting owners to plan and structure their companies for succession or sale, including incentive programs for key employees and advanced transfer strategies for owners.
  • Real Estate Law and Development
    • Represents clients in real estate acquisitions, leases and sales, including commercial, residential, multi-family, and mixed-use transactions.
    • Assists clients in the purchase and sale of real estate, negotiation and preparation of lease agreements, and resolution of disputes in real estate transactions.
    • Represents developers and property owners with zoning, variances, special use, and other land use matters.
    • Assists developers of residential subdivisions, including land acquisition, land use matters and covenants.
    • Collaborates with engineers, architects and financial institutions to facilitate client transactions.
    • Prepares covenants and restrictions for residential real estate developments.
    • Assists clients in organization of homeowner and condominium owner associations and on-going association operational matters.
  • Construction Law
    • Represents builders and subcontractors with residential construction agreements, mechanic’s liens, warranty issues, and the Indiana Quality Assurance Builder Standards.
    • Assists material suppliers with a variety of contractual business issues.
    • Assists clients with construction disputes and resolution of homeowner claims.
    • Assists clients in reducing wasteful construction claims by incorporating effective contract terms and dispute resolution methods.
  • Estate Planning and Wealth Transfer
    • Develops and implements estate plans for individuals and families, including wills, various trusts (family trusts, living trusts, credit shelter trusts, life insurance trusts), powers of attorney and healthcare representative appointments, intra-family loans, guardianships, gifting, and pre-marital agreements.
  • Probate and Trust Administration
    • Represents banks and individuals through the probate process in their roles as personal representatives and also in their roles as trustees of various trusts.
    • Assists in the transfer of non-probate assets, distribution of estate assets and the preparation and filing of inheritance tax returns.
  • Healthcare Law and Physician Groups
    • Assists in organization of professional corporations and limited liability companies for healthcare professionals and preparation of physician employment, independent contractor, joint venture and practice management agreements.
