Corporate Filings Vital When Expanding Business Across State Lines

Are you thinking of expanding your business into another state? There are many tasks to complete in this process, such as choosing a location, purchasing property or signing a lease, hiring new employees, and many others. When preparing to transact business in a new state, it is important not to lose sight of several important documents that typically must be filed with the new state’s Secretary of State before starting to conduct business.

Most states will require out-of-state businesses to file for a certificate of authority with the Secretary of State’s office in order to officially transact business in that particular state. By doing so, your business will be authorized to transact business in that state and your business will have a registered agent on file with the Secretary of State. Through such registration, you are also ensuring that your business name cannot officially be used by any other business in the new state.

Additionally, each state has different requirements for assumed business names. Registering your assumed business name in the new state will ensure that your business maintains its good will and will prevent another company from cashing in on what your business has built. If your business operates under an assumed business name, the importance of filing such documents can not be overstated.
