New Requirements for Forming and Organizing Businesses in Indiana

Under Indiana law, newly-formed entities are generally required to designate a registered agent for the purposes of receiving service of process in Indiana.  However, business entities formed after June 30, 2014, will face new formation and organization requirements as a result of recent legislative changes.

For example, effective July 1, 2014, newly-formed entities including limited liability companies and corporations must file the registered agent’s written consent to serve as registered agent or a representation that the registered agent has consented.

Additionally, a new business entity will also be required to keep its registered agent informed of the name, business address, and business telephone number of a person who is authorized to receive communications from the registered agent.

For more information on these business formation and organization changes as well as any questions regarding how to form a new business entity, please contact KDDK attorney Ashley Hollen (formerly Ashley Bess) at ahollen@KDDK.com or (812) 423-3183, or contact any member of the KDDK Business Law Practice Team.
